These Terms of Use (“Terms”) form a legally binding agreement between you (“you”, “your”) and MemeTools (“MemeTools”, “we”, “us”, or “our”).

By accessing or using the MemeTools website, applications, tools, Discord integrations, or any related services (collectively, the “Platform” or “Services”), you agree to these Terms. If you do not agree, do not use the Platform.

1. Risk Warning

The Platform provides software tools that allow users to interact with third-party protocols (including Pump.fun via its SDK) and blockchain networks.

MemeTools is not a broker, intermediary, exchange, advisor, or fiduciary. We do not provide investment, financial, legal, or tax advice of any kind.

Tokens created or traded using tools on the Platform (especially memecoins) are extremely high-risk. Their value can go to zero. You can lose your entire investment. You are solely responsible for any decision to create, buy, sell, or hold any token.

We do not control, endorse, or take any responsibility for any user-generated token, its smart contract, its liquidity, its creator, or any marketing associated with it.

You acknowledge that you use the Platform and any third-party protocols entirely at your own risk.

2. Description of the Service

MemeTools is a non-custodial software toolkit. We provide interfaces and tools that let users:

• Launch tokens on supported protocols (including Pump.fun via its official SDK)

• Interact with supported blockchain networks

• Use automation, bundling, volume, and related utility features

You always interact directly with the underlying blockchain and third-party smart contracts. MemeTools never holds your private keys, never takes custody of your funds, and never launches tokens on your behalf.

3. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and legally able to enter into these Terms.

You may not use the Platform if you are located in, or a resident of, any jurisdiction where use of the Services would be illegal, or if you are subject to sanctions.

4. Your Responsibilities

• You are solely responsible for securing your wallets, private keys, seed phrases, and devices.

• You are solely responsible for all transactions you initiate.

• You must comply with all applicable laws, including securities, commodities, tax, and anti-money-laundering laws in your jurisdiction.

• You must not use the Platform for any illegal purpose, market manipulation, wash trading, fraud, or to assist others in doing so.

5. Fees

Any fees charged by MemeTools will be clearly displayed before you confirm an action.
You are also responsible for all blockchain network fees (gas) and any fees charged by third-party protocols (including Pump.fun).

6. Intellectual Property

All rights in the MemeTools Platform, branding, code, and design remain the exclusive property of MemeTools.
You retain ownership of any tokens or content you create, subject to the rights of the underlying protocols.

7. Prohibited Uses

You agree not to:

• Use the Platform for any illegal activity

• Attempt to manipulate markets or engage in wash trading

• Reverse-engineer, scrape, or attack the Platform

• Impersonate others or spread false information about tokens

• Use the tools to create or promote tokens that violate applicable securities or commodities laws

• Circumvent any technical or geographic restrictions

8. Disclaimers

THE PLATFORM AND ALL SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses.
We do not warrant the accuracy of any data, charts, or information displayed.
We are not responsible for any third-party protocol (including Pump.fun), blockchain network, or smart contract.

9. Limitation of Liability

To the maximum extent permitted by law, MemeTools and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or digital assets, arising out of or related to your use of the Platform.

Our total liability to you for any claim shall not exceed the greater of (a) the fees you paid to MemeTools in the 12 months preceding the claim, or (b) one hundred U.S. dollars ($100).

10. Indemnification

You agree to indemnify, defend, and hold harmless MemeTools and its affiliates from and against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your use of the Platform, your tokens, or your violation of these Terms.

11. Termination

We may suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including violation of these Terms.

12. Changes to These Terms

We may update these Terms at any time. The “Last Updated” date will change when we do. Continued use of the Platform after changes constitutes acceptance of the new Terms.

13. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Platform shall be resolved through binding individual arbitration. You waive any right to a jury trial or to participate in a class action or representative proceeding.
